Your relationship with us

Welcome to Spaxel. These Terms of Service govern your access to and use of our mobile applications, websites, communities, profiles, feeds, chats, membership features, creator submission tools and related services.

The Services are provided by Spaxel Technology Limited. Spaxel provides spaces for interest-based communities, conversations, creative self-expression and user-submitted digital goods. Features may vary by country, device, app version, community and account status.

These Terms, our Privacy Policy and our User Guidelines form a legally binding agreement between you and Spaxel.

Accepting these terms

You accept these Terms when you access or use the Services, create an account, join a community, submit content, submit a digital good for review, purchase Prime or otherwise interact with Spaxel. If you do not agree, do not use the Services.

You must also follow the Privacy Policy, User Guidelines, community-specific rules and any additional terms shown for a feature or purchase.

Changes to these terms

We may update these Terms when we change the Services, introduce new features, address security or safety issues, or comply with legal requirements. We will publish the updated version and revise the Last updated date.

Where required by law, we will provide additional notice of material changes. Continued use after the effective date means that you accept the updated Terms.

Your account

Some Services require an account. You agree to provide accurate, current and complete information and to update it when necessary. You must keep your password, authentication methods and recovery channels confidential.

Accounts are personal. You may not sell, rent, transfer, lend or share an account, or create another account to evade a restriction, suspension or ban.

You can delete your account through the in-app account settings. If you cannot access the deletion flow, contact [email protected]. Deleting your account does not automatically cancel billing through Apple, Google or another payment provider.

Eligibility and age requirements

Registration is limited to people who are at least 18 years old, or older where required by law. Consent from a parent or legal guardian does not make a person under 18 eligible to register.

We may request age information, apply age verification or take reasonable steps to prevent access by people under 18. We may suspend or terminate an account if we reasonably believe that the account holder is under 18 or has provided inaccurate age information.

Your access to and use of the Services

You may use the Services for personal purposes and, where expressly enabled, approved community or creator activities. You may not:

• copy, modify, reverse engineer, disassemble, decompile or create derivative works from the Services, except where applicable law permits it;
• license, distribute, sell, rent, lease, transfer or commercially exploit the Services without written permission;
• send unauthorized advertising, spam, scams, phishing, pyramid schemes or unsolicited solicitations;
• use bots, automated scripts, scraping, mass collection or similar methods to access or collect from the Services;
• interfere with the operation, security, availability or integrity of the Services or bypass safety mechanisms;
• impersonate a person or entity or misrepresent your identity or affiliation;
• access another person’s account, credentials or private information without authorization;
• upload malware or other technologically harmful material;
• publish another person’s private information, passwords, authentication codes, identity-document information or payment-card information without authorization;
• use the Services to facilitate illegal activity, dangerous activity, self-harm, exploitation, abuse or credible threats of harm;
• manipulate reviews, likes, rankings, achievements, reputation, engagement, membership status or other platform metrics;
• infringe intellectual-property, privacy, publicity, contractual or other rights; or
• otherwise create material harm or liability for Spaxel or its users.

Communities, chats and user safety

Communities may have their own owners, moderators, administrators, roles and local rules. Local rules may be stricter than these Terms and the User Guidelines, but may not reduce protections required by law or Spaxel’s safety standards.

Spaxel provides reporting, blocking and muting tools where available. We may use automated systems and human review to respond to safety, abuse, fraud and policy concerns. Messages and private spaces are not guaranteed to be end-to-end encrypted unless Spaxel expressly says otherwise.

User content

User Content includes profiles, usernames, posts, comments, messages, images, video, audio, community materials, digital goods and other material you submit, upload, publish, transmit or make available through the Services.

You retain ownership of User Content to the extent that you own rights in it. You represent that you have the rights, permissions and consents needed to submit it.

By submitting User Content, you grant Spaxel a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, adapt, display, perform, distribute, moderate, translate and technically process that content as reasonably necessary to operate, secure, improve and promote the Services and make it available to the audience you select.

We may remove metadata, resize or technically transform content, and may remove, restrict or disable access to content that violates these Terms, the User Guidelines, applicable law or the rights and safety of users.

Creator submissions and digital goods

Spaxel may allow users to submit digital goods for review, including avatar frames, profile decorations, chat bubble styles and other community or profile assets. Submission does not guarantee review, publication, continued availability or acceptance.

You must own or properly license submitted work and ensure that it is accurately described and suitable for the feature where it will appear. We may reject, edit, pause, limit, hide or delist an item for quality, safety, technical, legal or intellectual-property reasons.

During the initial launch phase, eligible approved digital goods may be available to Prime members at no additional item charge. Uploading or publishing a digital good does not create a right to payment, revenue share, royalties or other cash compensation.

Spaxel may manually grant a membership period or another non-cash benefit to a user whose work meets our contribution and quality criteria. This recognition is discretionary and is not guaranteed solely by the number of submissions.

Prime membership

Prime is a membership offering that may unlock features, content or eligible digital goods. Benefits, price, billing period, renewal method, taxes, cancellation process and availability are shown before purchase and may vary by country, platform and promotional offer.

Prime is personal to the subscribing account. If a membership expires or is cancelled, access to Prime-only features and membership-unlocked items may end, unless the product description expressly grants a separate entitlement.

Purchases, payment and refunds

Prime memberships and other paid digital features made available in the Services are digital entitlements, not physical property. They do not give you ownership of Spaxel’s software, platform content or another user’s work.

Purchases made through Apple’s App Store, Google Play or another app store are processed by that platform and are also subject to its payment, cancellation and refund rules. If Spaxel offers a web purchase, the terms shown at checkout apply.

For App Store purchases, Apple bills your Apple account, and Apple handles cancellation and refunds. Deleting the app or your Spaxel account does not cancel an App Store subscription; manage or cancel it in your Apple account settings. We show the subscription title, length, price and the fact that it renews automatically until cancelled before you confirm a purchase.

Subscriptions may renew automatically until cancelled. Cancelling normally stops future renewals but does not automatically refund the current billing period, except where required by law or the applicable store policy.

If a transaction is unauthorized, duplicated or technically incorrect, contact the platform that processed the payment and, where appropriate, [email protected].

Intellectual property rights

Spaxel and its licensors own the Services, including the software, interfaces, designs, logos, names, trademarks, visual systems, documentation and materials that are not User Content. Except for the limited right to use the Services under these Terms, no rights are granted to you.

Copyright and trademark complaints should be sent to [email protected] with enough information for us to review the claim. Ideas, suggestions and feedback you voluntarily provide may be used by Spaxel without compensation or obligation to you, unless we agree otherwise in writing.

Third-party services and app stores

The Services may rely on or link to third-party services, including app stores, payment processors, authentication providers, hosting and storage providers, security services and communication services. Those third parties may impose their own terms and privacy policies.

If you download the app from Apple's App Store, Apple's Media Services Terms and Conditions and, unless a different licence agreement is shown at download, Apple's Standard End User License Agreement also apply to your use of the app. Where those terms require Apple's rules to govern a matter, they take precedence over these Terms for that matter.

Spaxel does not control and is not responsible for the content, availability, security, accuracy, privacy practices or actions of independent third parties.

Disclaimers and limitation of liability

To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. We do not promise that the Services will be uninterrupted, timely, secure, error-free, accurate, current, compatible with every device or free from harmful components.

We do not guarantee the quality, legality, accuracy, availability or usefulness of User Content, communities, creator submissions, recommendations, moderators or third-party services.

To the maximum extent permitted by law, Spaxel and its officers, employees, contractors, licensors and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or opportunities arising from or related to the Services or these Terms.

Nothing in these Terms limits liability that cannot legally be limited or statutory consumer rights that cannot be waived.

Indemnity

To the extent permitted by law, you agree to defend, indemnify and hold harmless Spaxel and its officers, employees, contractors, licensors and service providers from claims, losses, liabilities, damages, costs and reasonable expenses arising from your User Content, your use of the Services, your breach of these Terms or the User Guidelines, your violation of law, or your infringement of another person’s rights.

Suspension, termination and account deletion

You may stop using the Services at any time and may request account deletion through the in-app account settings or by contacting [email protected].

We may suspend or terminate access if you violate these Terms, the User Guidelines or applicable law, or if continued access creates a material risk to users, Spaxel or the integrity of the Services.

When an account is deleted or terminated, public access to associated content may be removed or restricted. Information may remain in restricted records for security, fraud prevention, moderation, legal compliance, transaction accounting, disputes or other lawful purposes, as explained in the Privacy Policy.

Governing law and general provisions

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Disputes are subject to the jurisdiction of the Hong Kong courts, except where mandatory consumer protection rules in the country where you live give you the right to bring proceedings locally. Mandatory consumer, privacy and other rights in the country where you live continue to apply where required by law.

These Terms, together with the Privacy Policy, User Guidelines and any additional terms expressly incorporated into them, constitute the entire agreement between you and Spaxel. If any provision is invalid or unenforceable, the remaining provisions continue in effect.
